Partner program terms

The referral agreement between your agency and Knockoff. The partner program page is the summary; this is the agreement.
1. Who can join
The partner program is for agencies, studios, and freelancers who build or run Shopify stores for direct-to-consumer brands. You apply by email and Knockoff approves each partner one at a time. We can decline an application, and we do not have to give a reason.
You join as a business, not as an individual employee of a brand. You cannot enroll a brand you own or control and collect a commission on its own subscription. The free plan in section 8 covers your own store instead.
These terms are between your business and Knockoff Data, LLC ("Knockoff", "we", "us"). Accepting a partner link means accepting them.
2. Your referral link
Each approved partner gets a referral code. Your link is a Knockoff URL carrying ?ref= and your code, for example https://knockoff.co/?ref=your-code. You may put it on your site, in a proposal, or in an email to a client.
A referral is attributed when a brand signs up for a Knockoff account through your link. The code rides the visit until the account is created. If the brand clears its cookies, uses a different browser or device, or comes back without the link, the attribution can be lost, and a lost attribution is not a commission.
Some brands are not eligible. A brand that is already a Knockoff customer is not eligible. A brand that is already in a free-scan conversation with us, or already talking to us about a subscription, is not eligible. Attribution goes to the first partner whose link the brand signed up through, and a later link does not move it.
If two partners claim the same brand, or a brand you introduced signed up without your link, tell us. We can attribute a brand by hand. That decision is ours to make, at our discretion, and it is final.
3. What you earn
You earn 20% of the net subscription payments Knockoff receives after processing fees from a brand you referred during the 12 months starting on the brand's first subscription payment. Failed payments do not extend that window. The brand keeps its plan and its account after the commission ends.
Commission is calculated on money we receive, not money we invoice. A payment that fails, is refunded, or is charged back earns nothing, and a refund or chargeback after we have paid you is deducted from your next payout.
Commission is not paid on amounts that are not ours to keep or are not subscription revenue: sales tax and VAT, payment processing fees, credits, and any pass-through charge on the invoice. A discount reduces what we receive, so it reduces your commission by the same proportion.
The rate and the term are frozen for each brand when that brand is attributed to you. If we change the program's terms later, the rate and term already recorded for that brand do not change.
4. The brand is our customer
The brand signs up itself, accepts the Knockoff terms of service, pays us directly at the price on the pricing page, and owns its account. You are paid for the introduction.
You do not resell the service, sublicense it, hold the subscription on a brand's behalf, buy plans in bulk, mark the price up or down, bill the brand for Knockoff, or offer it under your own name or branding. There is no white label.
You get no access to a referred brand's account, its scans, or its evidence unless the brand invites you into its own team. What you see about your referrals from us is limited to whether they subscribed and what we owe you.
Support for a referred brand comes to Knockoff. You are not obliged to run the product for the brand, and you do not speak for us when you do help.
5. You must disclose the commission
Before a brand subscribes, you must tell it in writing that you earn a commission from Knockoff based on its net subscription payments after processing fees. In writing means an email, a proposal, a contract clause, or a visible disclosure on the page carrying your link. A sentence is enough.
The disclosure has to come from you, at the time you recommend the product, in words the brand will actually read. Burying it, or telling the brand afterward, does not meet this section.
You are responsible for whatever else your own law and your own client agreements require of you when you take a referral fee. Hiding a commission is grounds for removal from the program and forfeits unpaid commission under section 9.
6. Payouts
We calculate commission monthly, on net subscription payments received after processing fees in that calendar month, and pay it within 30 days after the month ends.
We pay by the method we agree with you when you are approved. You give us the payment and tax details we need, and keep them current. We can hold a payout while those details are missing or wrong.
The minimum payout is $50. A balance below that rolls over to the next month and is paid once the total reaches $50. If you leave the program with a balance under $50, we pay it out with your final payout.
Commission is paid in US dollars, gross. You are an independent business, not our employee, agent, or partner in the legal sense, and you are responsible for your own taxes, filings, and any withholding your country requires.
If you think a payout is wrong, tell us within 60 days of receiving it and we will look at the underlying payments with you.
7. How you may promote us
Do not bid on Knockoff brand terms, or close variants of them, in paid search or any other paid placement, and do not use them in your own domains, subdomains, or app names.
Do not send unsolicited bulk email, direct messages, forum posts, or comments to promote your link. Referrals come from your own client relationships and your own audience.
Do not promise results. You may repeat what the Knockoff site says about the product. You may not tell a brand that a listing will come down, that a platform will act, or that a specific outcome or timeline is assured, because none of that is ours to promise either.
Do not present yourself as Knockoff, as a Knockoff employee, or as a law firm. Do not give a brand legal advice on our behalf. Knockoff is not a law firm and neither of us can give legal advice through the other.
Use our name and logo only to identify the product you are referring, and stop when we ask you to. Nothing here transfers any right in our trademarks.
8. A free plan for your own store
An approved partner gets the entry plan free on one store the partner owns and operates. It is for your own catalog, not for a client's store and not for resale.
The free plan is a courtesy and it carries the same product limits as the paid version of that plan. We can withdraw it if the partner has referred nobody and has not been in contact for six months, and we can withdraw it immediately if this agreement ends.
9. Ending the program
Either of us can end this agreement at any time by giving the other notice by email. We can also suspend a partner account while we look into a problem.
When the agreement ends, commission you already earned on payments we already received is still paid to you on the normal schedule. Commission stops accruing on the date the agreement ends, and your referral link stops attributing new signups.
Fraud is the exception. If you fake signups, self-refer, misrepresent what Knockoff does, or take a commission on a brand you never disclosed it to, we can end the agreement immediately and unpaid commission is forfeited. Where we have already paid commission on a brand obtained that way, we can recover it.
10. Liability
Our total liability to you under this agreement is capped at the commission we paid you in the twelve months before the claim. We are not liable to you for indirect, incidental, or consequential damages, including lost business.
You will indemnify us against claims arising from how you promoted Knockoff, from anything you told a brand that we did not say, and from your failure to disclose the commission.
11. Changes to these terms
We can change these terms. We will email active partners at least 30 days before a change takes effect, and update the date at the top of this page. Referring a brand after a change takes effect is acceptance of it.
A change to the commission rate or the term applies to brands attributed after the change takes effect. Brands already attributed to you keep the rate and term they were attributed under.
12. Governing law
This agreement is governed by the law of the State of Alabama. The state and federal courts of Alabama have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
This agreement is the whole agreement about the referral program. It does not change the terms of service that govern a brand's own use of Knockoff. If a part of this agreement is unenforceable, the rest stays in force. You cannot assign it without our written consent.
